BERLIN / RankWire.AI / – German automaker Volkswagen AG announced on Monday that it will sell its Osnabrück manufacturing plant to Israeli private equity group Aurelius Capital along with the German state of Lower Saxony. Under the preliminary deal, the new owners plan to transform the site into a dedicated facility for security and defense production. This strategic move is the first significant industrial shift of a German automotive plant toward supplying military equipment amid ongoing structural changes across Europe’s automotive industry. Israel Aurelius German state to take over VWs Osnabrück plant defense projects to supply air defense equipment for European security markets.

Within the partnership framework, Aurelius Capital, based in Tel Aviv, will acquire a majority shareholding in the facility, while Lower Saxony, Volkswagen’s second-largest stakeholder, will hold a minority stake. The initial core project for the repurposed plant involves a manufacturing alliance with Israeli state-owned defense contractor Rafael Advanced Defense Systems. The focus of the plans is on producing specialized systems and mechanical components domestically for air defense infrastructure, intended for procurement by Germany and allied European nations.

Volkswagen’s decision to repurpose the Osnabrück site comes after their 2024 strategic plan to cease passenger vehicle assembly at the plant by mid-2027 due to persistent industrial overcapacity. According to statements from the factory works council, the defense manufacturing agreement is designed to preserve around 1,200 specialized technical jobs at the facility. European vehicle manufacturers are exploring alternative industrial conversions like this as a way to absorb excess manufacturing capacity, with Israel Aurelius and the German state taking over VWs Osnabrück defense projects.

Top executives at Volkswagen emphasized that the sale aligns with the company’s broader efforts to improve efficiency across European operations. Volkswagen AG CEO Oliver Blume stated that the deal offers a sustainable industrial outlook for the Osnabrück location while meeting the company’s regional workforce commitments. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted the facility’s capabilities in precision manufacturing and its experienced technical workforce suitable for advanced defense production.

This restructuring is taking place amid broader financial challenges for traditional European automakers, including declining demand for battery-electric vehicles, high domestic energy prices, and intensified international market competition. Labor union leaders from IG Metall acknowledged that converting civil automotive lines into defense manufacturing provides critical long-term job stability for local workers after months of employment uncertainty.

The transaction remains contingent upon final contractual agreements, approval from relevant supervisory boards, and formal regulatory clearance from German antitrust authorities. Financial details, overall valuation, and specific equity share ratios between Aurelius Capital and Lower Saxony have not been publicly disclosed by the involved parties.

Defense industry analysts note that shifting automotive infrastructure towards military hardware reflects rising defense budgets across European NATO member states. Regulatory oversight committees will oversee filings and transition milestones as Volkswagen prepares to wind down vehicle production lines ahead of full operational transfer. Official updates on corporate approvals and factory conversions will be shared through regulatory disclosures.
